Avatar Licensing, Hosting, Maintenance, and Support, Perceptive Hosting, and Care Manager Subscription – Netsmart Technologies, Inc.

This is not a Request for Bid (RFB) or Request for Proposal (RFP).DCT intends to revise its agreement with Netsmart Technologies, Inc. (hereinafter “Netsmart”), to expand the scope of products and services provided. The additional products and services are provided by Netsmart and are purchased on an annual basis for up to four years. The current agreement provides software licensing, subscription services, advanced hosting, user monitoring, security services, and system maintenance of the multi-faceted electronic medical records system (hereinafter the “System”) that is used by DCT. The revision is necessary to add licenses for Avatar RAD and Avatar Hosting, add licenses for Perceptive Hosting, provide a short-term subscription extension for Care Manager, and account for any license, hosting, or System environment changes based on an annual audit carried out by the Parties.Perceptive, Avatar, and Care Manager are three components that make up the System. Perceptive is Netsmart’s document scanning software partner that integrates seamlessly into the System. DCT already owns the Perceptive component. However, to add more users, Netsmart must size the Perceptive environment and the mitigation procedures. This is to ensure the larger usage will not disrupt the stability of the product and to be prepared for the new environment size in the event of a disaster. Netsmart cannot size any other document scanning product due to the integration into the System. Similarly, the Avatar licenses, maintenance, and support, as well as the Care Manager subscription, are only provided by Netsmart and are not available from any third-party providers.
